By accessing or using Willowcommerce’s multichannel e-commerce management platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Willowcommerce provides a software-as-a-service platform that enables businesses to manage their e-commerce operations across multiple marketplaces, including but not limited to inventory management, order fulfillment, analytics, and marketplace integrations.

3. Account Registration

You must provide accurate and complete registration information
You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized use of your account
You must be at least 18 years old to use this Service

4. Subscription and Billing

Subscription fees are billed in advance on a monthly or annual basis
All fees are non-refundable except as required by law
We reserve the right to modify pricing with 30 days’ notice
Failure to pay may result in suspension or termination of your account
You are responsible for all applicable taxes

5. Acceptable Use

You agree not to:

Violate any applicable laws or regulations
Infringe on intellectual property rights
Transmit malware or harmful code
Attempt to gain unauthorized access to our systems
Use the Service for any illegal or fraudulent purpose
Resell or redistribute the Service without authorization
Interfere with other users’ use of the Service

6. Marketplace Integrations

When connecting third-party marketplaces (Amazon, eBay, Walmart, etc.), you agree to comply with each marketplace’s terms of service. Willowcommerce is not responsible for:

Changes to marketplace APIs or policies
Account suspensions by marketplaces
Data accuracy from marketplace feeds
Marketplace fees or commissions

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Willowcommerce and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of your data and grant us a license to use it solely for providing the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WILLOWCOMMERCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

11. Indemnification

You agree to indemnify and hold harmless Willowcommerce and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may export your data within 30 days of termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
