PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THIS SITE AND THE SERVICES.

This website, including all content made available through the website (the “Site”) is owned and operated by Global Business Commerce d/b/a WillowCommerce.ai (collectively, “Provider,” “we,” “us” or “our”). The services and products (the “Services”), which may be made available to you directly by Provider or through a third-party platform (“Platform”), are subject to the notices, terms, and conditions in these Terms of Service (the “Terms”).

“You,” “user,” and “account holder” refer to you as a user of the Site, the WillowCommerce.ai software (the “Software”), and/or a subscriber to the Services.

All references in these Terms to dollars or to “$” are expressed in U.S. currency unless otherwise specifically indicated. Unless otherwise agreed in writing with Provider, these Terms govern your access to and use of the Services. Unless otherwise agreed in writing with Provider, your agreement with Provider will always include, at a minimum, these Terms and our Privacy Policy (“Privacy Policy”), which is hereby incorporated by reference into these Terms. These Terms and the Privacy Policy form a legally binding agreement between you and Provider in relation to your use of Provider’s Services.

By using the Services, you acknowledge and agree that Provider’s collection, usage, and disclosure of personal information is governed by our Privacy Policy.

You must be the older of: (i) 18 years, or (ii) at least the age of majority in the jurisdiction where you reside and from which you use the Services to open an account.

Provider may, from time to time, modify, amend, or supplement these Terms, and post those changes on the Terms of Service page. Modifications, amendments, or supplements to these Terms shall automatically be effective seven (7) days after Provider has posted the modifications, amendments, or supplements. If you do not agree to be bound by (or cannot comply with) these Terms, including the Terms as modified, amended, or supplemented, you agree that your sole remedy is to cease using the Services by canceling your account. Your continued use of the Services constitutes your agreement to be bound by the Terms, including as modified.

Both you and the Provider agree, with the limited exceptions noted below, to resolve all disputes between you and the Provider through binding arbitration. ARBITRATION MEANS THAT YOU AND THE PROVIDER ARE EACH WAIVING THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

1. Service Pricing; Professional Services

Provider offers multiple types of Service plans – including free and paid Service plans. Each Service plan offers different pricing and feature options and has varying usage limits. When you sign up for a paid Service plan, you agree to recurring billing. You are responsible for all variable and transactional costs of using your applicable Services (including, without limitation, marketplace fees, data processing fees, integration costs, and third-party service charges) in addition to your Service plan fees.

If you register for a free trial, you must cancel prior to the trial’s end to avoid charges. Provider may change the pricing of Services and will notify you at least 30 days in advance. Continued use after a price change constitutes acceptance.

Professional Services (such as onboarding, training, or consulting) may be available under separate agreements. Provider warrants such services will be performed in a professional manner.

2. Account Duration

All accounts are maintained until canceled by you or terminated by Provider. Provider may suspend or terminate accounts for lack of payment, inactivity, or violation of these Terms. You remain responsible for all fees incurred through the termination date.

3. Service Plan Renewal and Account Cancellation

Unless otherwise agreed in writing, Service plans renew automatically. You consent to Provider automatically charging your payment method for renewals. You may cancel at any time online or by contacting support. To avoid charges, cancellation must be completed at least 24 hours prior to renewal.

4. Free Trial Offer Terms; Beta Services

Provider may offer free trials or beta services at its discretion. Beta services are provided “as is” without warranty and may contain defects. You assume all risks in using Beta services and agree to provide feedback, which Provider may use freely.

5. Method of Payment

Provider accepts major credit cards and ACH where available. You must provide accurate payment information and consent to updates from financial institutions (e.g., updated card expiration dates). Fees will be charged automatically at the start of each billing cycle.

6. API Terms

Provider may offer APIs for integration. You agree to use them only as documented, not to exceed rate limits, and not to misuse or reverse engineer. Provider may revoke access at any time. You must comply with all data privacy laws regarding any customer data accessed via APIs.

7. Third-Party Marketplace and Carrier Integrations

The Services may connect with third-party platforms (e.g., Amazon, Walmart, Shopify, USPS, UPS, FedEx, DHL). Provider is not responsible for their performance, policies, or practices. Your use of third-party platforms is subject to their terms.

8. Intellectual Property Rights

Provider retains all rights in and to the Services, Software, and associated intellectual property. You are granted only a limited, non-transferable right to access and use the Services in accordance with these Terms.

9. Patents

The Services may be covered by one or more U.S. or international patents.

10. Trademarks

WillowCommerce.ai and related marks are trademarks of Global Business Commerce. Other marks are the property of their respective owners. You may not use Provider’s trademarks without prior written consent.

11. Use of Site and Services

The Services may only be used for lawful business purposes. You may not copy, distribute, or resell the Services, interfere with systems, or attempt unauthorized access. Provider may suspend or terminate accounts for misuse.

12. Copyright Infringement

Provider respects intellectual property rights. If you believe your copyright has been infringed, please contact support with details.

13. Software Available on the Site and Services

Software provided is the copyrighted work of Provider and its suppliers. You may not copy, redistribute, or reverse engineer. Use is licensed, not sold.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE SIX (6) MONTHS PRIOR TO THE CLAIM.

15. Disclaimer

The Services are provided “as is” and “as available.” Provider disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

16. Links to Third-Party Websites

Provider may include links to third-party websites. Provider is not responsible for their content or practices. Use is at your own risk.

17. Dispute Resolution; Agreement to Arbitration; and Class Waiver

Any dispute arising out of these Terms or the Services shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA). You waive the right to a jury trial or to participate in a class action. Arbitration hearings will take place in New Jersey unless otherwise agreed.

18. No Unlawful or Prohibited Use; Compliance with Laws

You may not use the Services for unlawful purposes, including selling prohibited items or violating marketplace rules. You are solely responsible for compliance with all applicable laws.

19. Indemnification

You agree to indemnify and hold Provider harmless from any claims, damages, or expenses arising out of your use of the Services, violation of these Terms, or infringement of third-party rights.

20. Materials Provided to the Site

By submitting content, feedback, or suggestions to Provider, you grant Provider a worldwide, royalty-free license to use such submissions in connection with its business operations.

21. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts in New Jersey.

22. U.S. Government Users Restricted Rights

Use, duplication, or disclosure by the U.S. Government is subject to restrictions under applicable regulations. Government use constitutes acknowledgment of Provider’s proprietary rights.

23. Prohibited Activities; Ineligible Items

You may not use the Services for fraudulent, abusive, or harmful purposes. Prohibited items include illegal products, counterfeit goods, weapons, controlled substances, and any items restricted by applicable law or marketplace policies.

24. Terms Regarding Shipping Insurance

Where Provider facilitates third-party shipping insurance, coverage terms are governed by the insurer. Provider is not responsible for claims, losses, or disputes arising from insurance products.
